By accessing or using our websites, software, or services (collectively, the “Services”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Who We Are & What We Do
WOTC Plus provides software and workflow tools that help employers manage Work Opportunity Tax Credit (“WOTC”) screening (e.g., IRS Form 8850, ETA Form 9061), submissions to state workforce agencies, and related reporting. We are not a law firm, accounting firm, or tax advisor, and we do not guarantee that any employee or candidate will qualify for a credit or that any credit will be certified.
Key Definitions
- Client: The employer or entity that creates a tenant/account to use the Services.
- Authorized User: Any individual Client authorizes to access the Services (e.g., HR staff, administrators).
- Applicant/Employee: A job applicant or employee who completes WOTC screening via the Services.
- Content: Information, data, documents, text, software, scripts, graphics, and other materials displayed, uploaded, or transmitted through the Services.
Eligibility & Account Registration
You must be at least 18 years old and capable of forming a binding contract. Clients must ensure Authorized Users provide accurate registration information and maintain credential confidentiality. The Client is responsible for all activities under its account(s).
Client Responsibilities (Shared-Responsibility Model)
- Timeliness: Clients are solely responsible for collecting and approving WOTC forms and data within required deadlines (e.g., 28 days after hire).
- Accuracy: Clients are responsible for ensuring all submitted data is accurate, complete, and lawful.
- Authorizations: Clients must maintain proper authorizations (e.g., ETA-9198) and comply with all relevant laws.
- Use Restrictions: Clients must not misuse the Services (see “Acceptable Use” below).
Our Commitments
We provide the Services professionally and consistent with industry standards. We may update or improve features periodically, including introducing beta features provided “as is.”
No Professional Advice; No Guarantees
Information provided through the Services is for general informational purposes only and does not constitute legal, tax, or accounting advice. We do not guarantee that any WOTC application will be certified or that any estimated credits will match actual outcomes.
Privacy, Data Security & Cookies
Your use of the Services is governed by our Privacy Policy and Data Security Policy. We use cookies and similar technologies to operate and improve our Services. By using the Services, you consent to our use of cookies as described in our Privacy Policy.
Intellectual Property & License
All intellectual property in the Services, including software, text, and graphics, belongs to WOTC Plus or its licensors. We grant Clients a limited, non-transferable license to access and use the Services for internal business purposes only.
You may not copy, modify, resell, reverse-engineer, distribute, or use our trademarks or logos without written consent.
Client Content & Feedback
Clients retain ownership of their data and grant WOTC Plus a limited license to process it solely to provide Services and comply with law. Feedback provided may be used by WOTC Plus royalty-free and without obligation.
Acceptable Use
You agree not to:
- Use the Services in violation of law or third-party rights;
- Upload malware or attempt to bypass security;
- Access the Services to build a competing product;
- Share credentials or enable unauthorized access;
- Export or transmit Social Security numbers outside approved workflows.
We may suspend or terminate access for violations.
Third-Party Services & Links
The Services may reference or integrate with third-party tools (e.g., e-signature, payroll). Their use is subject to their own terms and privacy policies, and WOTC Plus is not responsible for them.
Hyperlinking & Framing
You may link to our public pages fairly and legally, without suggesting endorsement. You may not frame or alter our content without written permission. Linking permissions may be revoked at any time.
User-Generated Areas (Comments/Forums)
If posting areas exist, you are responsible for your submissions. We may remove content that violates laws or our policies. By posting, you grant WOTC Plus a non-exclusive, royalty-free license to use and display your content in connection with the Services.
Fees, Billing & Taxes
Fees are specified in your order or agreement. Unless stated otherwise, fees are non-refundable. You authorize payment processing for charges and are responsible for applicable taxes (excluding WOTC Plus’s income taxes).
Service Availability; Changes; Beta Features
We strive for secure and continuous operation but do not guarantee uninterrupted service. Features may change or be discontinued with reasonable notice. Beta features are provided “as is.”
Suspension & Termination
Access may be suspended or terminated for material breaches, legal requirements, or security concerns. Upon termination, access ceases but key terms (IP, liability limits, indemnities) remain effective.
Records, Retention & Export
Clients can export data during their subscription. After termination, WOTC Plus may delete or de-identify data in line with legal and policy requirements. Clients are responsible for maintaining required tax and audit records.
Compliance & E-Signature
You may use integrated e-signature tools for legal authorizations. You are responsible for ensuring that electronically signed documents meet your compliance obligations.
Disclaimers
The Services are provided “as is” and “as available.” We disclaim all implied warranties, including merchantability and fitness for a particular purpose. We do not guarantee error-free or uninterrupted operation.
Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. WOTC Plus’s total liability will not exceed the amount paid for Services during the 12 months preceding the claim.
Indemnification
Clients agree to defend and indemnify WOTC Plus against claims arising from their use of the Services, provided data, employment practices, or violations of law or these Terms.
Ownership; DMCA
We respect intellectual property rights. If you believe content infringes your copyright, send a DMCA-compliant notice to support@wotcplus.com.
Export & Sanctions
You must comply with all export control and sanctions laws. The Services cannot be used in embargoed countries or by sanctioned entities.
Government Use
If accessed by or for the U.S. government, the Services are “Commercial Computer Software” provided under these commercial Terms.
Changes to These Terms
We may update these Terms from time to time. Changes take effect upon posting unless stated otherwise. Continued use of the Services after the effective date indicates acceptance.
Governing Law & Dispute Resolution
These Terms are governed by the laws of Wyoming and applicable U.S. federal law. Disputes will be resolved through confidential, binding arbitration in Cheyenne, WY (or remotely if agreed). Class actions are not permitted.
Entire Agreement & Order of Precedence
These Terms, together with any signed agreements or order forms, represent the full agreement between you and WOTC Plus. In case of conflict, signed agreements take precedence.
Severability, Waiver & Assignment
If any provision is unenforceable, it will be modified to the minimum extent necessary. Failure to enforce any provision is not a waiver. Clients may not assign these Terms without written consent.
